Terms & Conditions

Last updated: 15 March 2025  |  Effective: 15 March 2025

1. Definitions

In these Terms and Conditions, the following terms apply:

2. Acceptance of Terms

By engaging Greymantle's services or using our Website, you agree to be bound by these Terms. If you are entering into an Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

You must be at least 18 years of age to engage our services. By proceeding, you confirm that you are of legal capacity to enter into this Agreement.

3. Our Services

Greymantle provides legal services within three practice areas: tax advisory and planning, insurance and takaful claims, and shipping and maritime law. The specific scope of services in any given matter will be set out in an engagement letter or written confirmation before work commences.

Our services are available to clients based in Malaysia. Where your matter has an international dimension, we will advise on the applicable framework and, if necessary, refer to or collaborate with practitioners in other jurisdictions.

4. Engagement and Scope

A formal engagement commences upon written agreement of the scope of services and applicable fee. We reserve the right to decline instructions without providing a reason. Initial consultations do not create an ongoing client relationship unless confirmed in writing.

We will not commence substantive work until the scope has been agreed and any required initial payment has been received.

5. Client Responsibilities

To enable us to advise and act effectively, you agree to:

6. Fees and Payment

Our fees are as agreed in writing prior to engagement. Starting rates for each practice area are indicated on our website and are subject to adjustment based on the complexity and scope of any specific matter. We will notify you in advance if we anticipate costs exceeding the agreed scope.

Invoices are payable within 14 days of issue unless otherwise agreed. Currency of billing is Malaysian Ringgit (MYR). Late payment may attract interest at the prevailing rate applicable under Malaysian law.

Disbursements (court filing fees, third-party professional fees, courier costs) are charged at cost and will be itemised separately. We reserve the right to require payment of anticipated disbursements in advance.

Refund policy

Where an engagement is terminated before completion, fees will be charged on a pro-rata basis for work completed to that point. Any balance over and above work completed will be refunded within 14 days. Initial consultation fees are non-refundable.

7. Confidentiality

Greymantle treats all client information as strictly confidential in accordance with our obligations as members of the Malaysian Bar. Information will not be disclosed to third parties except as required for the conduct of your matter, as required by law, or with your consent.

8. Intellectual Property

All written advice, documents, and materials prepared by Greymantle remain our intellectual property unless expressly transferred by written agreement. You are granted a personal, non-exclusive licence to use materials prepared for your matter for that matter only. Reproduction or redistribution for other purposes requires our prior written consent.

9. Disclaimers

Legal advice is provided based on the information available to us at the time and the law as it stands at the relevant date. We do not warrant that outcomes will match any indication or estimate given. Legal outcomes are inherently uncertain, and nothing in our advice should be read as a guarantee of result.

Website content is provided for informational purposes only and does not constitute legal advice. No client relationship is formed by your use of this website alone.

10. Limitation of Liability

To the extent permitted by law, Greymantle's aggregate liability to you in connection with any matter shall not exceed the total fees paid by you to us in respect of that matter. We are not liable for indirect, consequential, or special losses howsoever arising.

Nothing in these Terms limits liability for fraud, wilful default, or as otherwise required by law.

11. Termination

Either party may terminate an engagement on reasonable written notice. We reserve the right to cease acting with immediate effect where continued representation would be contrary to law or our professional obligations, including where instructions cannot be confirmed or where we have a conflict of interest that cannot be managed.

On termination, you remain liable for fees for work completed to the date of termination. We will provide a summary of the current status of your matter and take reasonable steps to avoid prejudice to your position during any transition.

12. Dispute Resolution

Any dispute arising in connection with these Terms or our services will first be referred to an informal resolution discussion. If not resolved within 30 days, the parties may refer the matter to mediation. If mediation is unsuccessful, disputes will be subject to the exclusive jurisdiction of the courts of Malaysia, and these Terms are governed by the laws of Malaysia.

13. General Provisions

14. Changes to These Terms

We may update these Terms from time to time. Updates will be published on this page with a revised effective date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
